1. This is a legal agreement between you and the Company, please read the Agreement carefully before registering for the Service. By completing your registration and clicking on the "I Accept" button, you will become a registered user of the Service and you agree to be bound by the terms and conditions of this Agreement (the "Terms") for as long as you continue to be a Registered User. IF YOU DO NOT AGREE TO THE TERMS, PLEASE DO NOT REGISTER FOR THE SERVICE. The Terms are subject to change by the Company at any time, effective upon posting updated Terms on our website; any use of the Service after such notice will constitute acceptance by you of such changes.

DesiFly File Upload Help, Instructions and Terms

To use the DesiFly Uploader, it’s very easy all you have to do is sign up for your free account and start adding your Artist Profile, Music MP3 Albums, Video, Wallpapers or Pictures. Sign in and click the link UPLOAD in the upper right corner of any DesiFly pages.

Help Note*
If you have more than one Wallpaper/ Pictures of a Concert, Event, Mela or an Artist you can request and additional category or request to send us your files(via .ftp) services@desifly.com and we will upload them for you. Or you can simply go ahead and upload them on DesiFly and we will add an additional category for you.

Music Upload Errors*
When uploading Music MP3 files upload page can timeout or return with errors. Reason is your upload link or Internet connections are running very slow or files are way too large.
Solution : - You must upload 3 to 5 MP3 songs or files at a time to resolve this issue or if the Internet connections is way to slow or files are big and large try uploading "1" MP3 file at a time.

To upload your file, follow the steps below:

1. Click the Browse button to link your file.
2. Select the files you'd like to upload.
3. Once you've added all the files you'd like to upload and confirmed that the total file size is less than 90MB, click the "Upload" button.
4. Please note that it may take 15-30 minutes for these uploaded Media to appear on the site and in your account.

You can upload several types of Music, Video, Wallpaper and Picture files through the Uploader : -
Music : - .mp3
Video : - .avi, .flv, .mpg, .mpeg, .wmv
Wallpaper : - .gif, .jpg, .jpeg, .png

Files that you upload must be uniquely named in your account. If you upload a file with the same filename as a file you previously uploaded, your old file will be over written.

Due to the constant site software updates and changes and depending on file types your uploaded media files may get corrupted or not play or display. Please check your files sometime you may have to upload them again. Desifly will not be held responsible or cannot grantee for your files to stay in function on the site. We appreciate your help participant and suggestions.

Note* All files and uploads are subject to copyrights please check them before you upload and please do not upload any nude or nudity any copyright material or nudity will be removed.

2. Exclusive Use. Your account is for your sole, personal use, you may not authorize others to use your account, and you may not assign or otherwise transfer your account to any other person or entity.

3. Prohibited Activities. We DesiFly.com.com reserves the right to investigate and terminate your membership if you have misused the Service, or behaved in a way which could be regarded as inappropriate or whose conduct is unlawful or illegal. The following is a partial list of the type of actions that you may not engage in with respect to the Service: Multiple profiles of the same person are not allowed on DesiFly.com. We reserve the right to deactivate all multiple profiles without any refund of subscription fees.

I. You Will Not Stock, Harass or Impersonate any Person or entity on DesiFly.com
II. You may not engage in advertising to, or solicitation of, other Members to buy or sell any products or services through the Service. You will not transmit any chain letters or junk e-mail to other DesiFly.com Members. Although DesiFly.com cannot monitor the conduct of its Members off the DesiFly.com Site, it is also a violation of these rules to use any information obtained from the Service in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. In order to protect DesiFly.com and/or our Members from any abuse / misuse, DesiFly.com reserves the right to restrict the number of communications / profile contacts & responses / e-mail which a Member may send to other Member in any 24-hour period to a number which DesiFly.com deems appropriate in its sole discretion
III. You may not use any automated processes, including IRC Bots, EXE's, CGI or any programs/ scripts to view content on or communicate / contact / respond / interact with DesiFly.com and/or its members.
IV. You will not post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment. You will not forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Service.
V. You are solely responsible for the content or information you publish, display or otherwise communicate in any manner (hereinafter, "post") on the Service, or transmit to other Registered Users.
VI. You will not post on the Service, or transmit to other Registered Users, or otherwise communicate any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity). Furthermore you will not take actions to promote the physical harm or harassment of another person, engage in or promote spamming, provide information that you know is illegal, false or misleading, or designed to exploit those under 18 or otherwise provide instructional information about illegal activities such as making or buying illegal weapons, violating someone else's right to privacy or providing or creating computer viruses.
VII. You will use the Service in a manner consistent with any and all applicable local, state, national and international laws and regulations, including, but not limited to, United States export control laws. You are not located in, under the control of, or a national or resident of any country which the United States has

a) Embargoed goods,
b) Identified as a "Specially Designated National", or
c) Placed on the Commerce Department's Table of Deny Orders. Membership in, and use of, the Service is void where prohibited.

VIII. You will not provide inaccurate, misleading or false information to the Company or to any other Registered User. If information provided to the Company, or another Registered User, subsequently becomes inaccurate, misleading or false, you will promptly notify the Company of such change.
IX. Prior to reaching Open Communication, your E-mail correspondence with other Registered Users will not include any personal information, which would enable other Registered Users to discover your identity. Certain personal information about you will be made available to, or will otherwise be accessible by, other Registered Users.
X. You will only create one unique profile with the Service.
XI. You will not engage in advertising to, or solicitation of, other Registered Users to buy or sell any products or services through the Service. You will not transmit any chain letters or junk E-mail to other Registered Users.
XII. You will not post, copy, modify, transmit, show in public or private, create any derivative works from, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights.
XIII. You are solely responsible for your interactions with other Registered Users. You agree to take normal precautions when meeting individuals through the Service. In addition, you agree to review and follow the recommendations set forth in DesiFly.com Safety Tips, which will be provided to you prior to entering Open Communication with your Matches.
XIV. You understand that the Company makes no guarantees, either express or implied, regarding your ultimate compatibility with individuals you meet through the Service.
XV. You will promptly report to the Company any violation of the Terms of this Agreement by other Registered Users.
XVI. Minors. MINORS MAY NOT BECOME PART OF THE DATING USERS. By registering, you represent and warrant that you are at least 18 years old TO BE THE PART OF DATING. Marital Status, by requesting to receive matches from the Service, you represent and warrant that you are not married.
XVII. The Company reserves the right, but has no obligation, to monitor the materials posted in the public areas of the Service. The Company shall have the right to remove any such material that in its sole opinion violates, or is alleged to violate, any applicable law or either the letter or spirit of this Agreement. Notwithstanding this right of the Company, YOU REMAIN SOLELY RESPONSIBLE FOR THE CONTENT OF THE MATERIALS YOU POST IN THE PUBLIC AREAS OF THE SERVICE AND IN YOUR PRIVATE E-MAIL MESSAGES. E-mails sent between you and other Registered Users that are not readily accessible to the general public will be treated as private by the Company to the extent permitted by applicable law.

IN DATING MARRIED PEOPLE AND CRIMINALS WILL BE PROSECUTED
If you are married and representing yourself as single, or if you are a convicted criminal, be aware that you could be guilty of fraud and subject to civil and criminal penalties under U.S. federal and state law. For example, Title 18, Section 1343 of the U.S. Code authorizes fines of up to $250,000 and jail sentences of up to five years for each offense. DesiFly.com reserves the right to report violators to appropriate law enforcement authorities and seek prosecution or civil redress to the fullest extent of the law. If you are married or a convicted criminal, please close your browser.

4. Payments and Refund Policy

I. Do all visitors have to pay? NO, All visitors to our site may browse the site, search the ads and view any articles or features our site has to offer without entering any personal information or paying money.
II. Payment: All Transactions on the site are protected up to 128-bit Secure Sockets Layer encryption security SSL encryption system for credit card transactions to protect the credit card information of our clients and cookies are used to store the login information only.
III. Refund Policy: We resolve all refunds in professional manners. For our Costumers there will be instructions given upon request how to do returns or exchanges as long the item is in original condition and packing. We have a 30 day money back policy on all items in original packing and condition. There will be no returns or exchanges or refunds on used/ washed worn and damaged items. All shipping and restocking fees on merchandise subject to be deducted from all refunds this applies to large quantity orders only. All returns or exchanges with an RMA number only.
IV. Event, Party’s, Concerts, Movies Tickets: http://DesiFly.com offer to sell tickets on behalf of Promoters, Teams, Bands and Venues which means http://DesiFly.com does not set the ticket prices or determine seating locations. All ticket sales are final and no exchanges or refunds are allowed after a purchase has been made. Where tickets are mailed to the Subscribers neither the client nor http://DesiFly.com will replace lost, stolen, damaged or destroyed tickets. When "Ticket Delivery" feature is available and chosen, please allow enough time for the delivery of your ticket order. If you have selected delivery by mail, please allow at least fourteen business days after your order is placed to receive your tickets. These are approximate times, and http://DesiFly.com is not responsible for deliveries that take longer time. If the event is cancelled, delayed or postponed for any reason please contact the organizer for information on receiving a refund. If the event was moved or rescheduled, the venue or promoter may set refund policies and limitations. http://DesiFly.com takes no responsibility for such refunds and processes refunds only as instructed by the event organizer. http://DesiFly.com will send a confirmation of the order for tickets via email to the subscriber upon successful processing of the order. It is the responsibility of the Subscriber to ensure that the email address provided is correct and accurate.

5. Online Content. Opinions, advice, statements, offers, or other information or content made available through the Service, but not directly by the Company, are those of their respective authors, and should not necessarily be relied upon. Such authors are solely responsible for such content.

THE COMPANY DOES NOT

(i) GUARANTEE THE ACCURACY, COMPLETENESS OR USEFULNESS OF ANY INFORMATION ON THE SERVICE, AND
(ii) ADOPT, ENDORSE NOR ACCEPT RESPONSIBILITY FOR THE ACCURACY OR RELIABILITY OF ANY OPINION, ADVICE, and OR STATEMENT MADE BY ANY PARTY OTHER THAN THE COMPANY. UNDER NO CIRCUMSTANCES WILL THE COMPANY BE RESPONSIBLE FOR ANY LOSS OR DAMAGE RESULTING FROM ANYONE'S RELIANCE ON INFORMATION OR OTHER CONTENT POSTED ON THE SERVICE, OR TRANSMITTED TO OR BY ANY REGISTERED USERS.

6. Dealings with Advertisers. Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that the Company shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings, including the sharing of the information you supplied to the Company with advertisers, or as the result of the presence of such advertisers on the Service.

7. Unauthorized Users. It is possible that other Registered Users or users (including unauthorized users, or "hackers") may post or transmit offensive or obscene materials on the Service and that you may be involuntarily exposed to such offensive and obscene materials. It also is possible for others to obtain personal information about you due to your use of the Service, and that the recipient may use such information to harass or injure you. The Company is not responsible for the use of any personal information that you disclose on the Service. Please carefully select the type of information that you post on the Service or release to others.

8. Proprietary Rights

I. The Company owns and retains proprietary rights in the Service. The Service contains copyrighted material, trademarks, and other proprietary information of the Company, its licensors and licensees. In addition, other Registered Users may post copyrighted information, which has copyright protection whether or not it is identified as copyrighted. Except for that information which is in the public domain or for which you have been given permission, you agree not to copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.
II. By posting information or content to any public area of the Service, you automatically grant, and you represent and warrant that you have the right to grant, to the Company and other Registered Users an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, copy, publicly perform, publicly display and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sub-licenses of the foregoing.
III. DesiFly.com does not claim ownership of Content you submit or make available for inclusion on the Service. However, with respect to Content you submit or make available for inclusion on publicly accessible areas of the Service, you grant DesiFly.com the following worldwide, royalty-free and non-exclusive license(s), as applicable:
a)With respect to photos, graphics, audio or video you submit or make available for inclusion on publicly accessible areas of the Service, the license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such Content on the Service solely for the purpose for which such Content was submitted or made available. This license exists only for as long as you elect to continue to include such Content on the Service and will terminate at the time you remove or DesiFly.com removes such Content from the Service.
b) With respect to Content other than photos, graphics, audio or video you submit or make available for inclusion on publicly accessible areas of the Service, the perpetual, irrevocable and fully sub-licensable license to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform and publicly display such Content (in whole or in part) and to incorporate such Content into other works in any format or medium now known or later developed.
"Publicly accessible" areas of the Service are those areas of the DesiFly.com network of properties that are intended by DesiFly.com to be available to the general public. By way of example, publicly accessible areas of the Service would include DesiFly.com Message Boards and portions of DesiFly.com Groups, Profiles and Portfolios that are open to both members and visitors. However, publicly accessible areas of the Service would not include portions of DesiFly.com Groups that are limited to members, DesiFly.com services intended for private communication such as DesiFly.com Notes or Instant Messaging, or areas off of the DesiFly.com network of properties such as portions of World Wide Web sites that are accessible via hypertext or other links but are not hosted or served by DesiFly.com.
IV You agree to grant us the right to use our logo and name on your content by posting your content, work, flyer, picture, text, media or etc on our site. Once you post or upload something on our site it becomes proprietary of the desifly.com. If you do not agree to this please do not post or upload anything on desifly.com.

9. Confidentiality: With the exception of the information provided to other Registered Users pursuant to the terms of the Service and as provided in the Company's privacy policy or below, the Company will keep confidential all information supplied to the Company by you, including credit card number(s) and other financial information, and shall use or disclose such information only for the purposes for which such information was collected, or as required by court order or applicable law. If you choose to accept any offers from third-party advertisers made through DesiFly.com, the Company may supply the advertiser with information you provided to Company, including billing information. For additional information about the collection and possible use of information provided by you, please click on the Company's privacy policy.

10. Warranties

I. THE COMPANY PROVIDES THE SERVICE ON AN "AS IS" BASIS AND GRANTS NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE WITH RESPECT TO THE SERVICE. THE COMPANY SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
II. The Company does not warrant that your use of the Service will be secure, uninterrupted, always available, and error-free or will meet your requirements, or that any defects in the Service will be corrected. THE COMPANY DISCLAIMS LIABILITY FOR, AND NO WARRANTY IS MADE WITH RESPECT TO, THE CONNECTIVITY AND AVAILABILITY OF THE SERVICE.
III. You acknowledge that DesiFly.com may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that email messages, message board postings or other uploaded Content will be retained by the Service, the maximum number of email messages that may be sent from or received by an account on the Service, the maximum size of any email message that may be sent from or received by an account on the Service, the maximum disk space that will be allotted on DesiFly.com servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Service in a given period of time. You agree that DesiFly.com has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Service. You acknowledge that DesiFly.com reserves the right to log off accounts that are inactive for an extended period of time. You further acknowledge that DesiFly.com reserves the right to modify these general practices and limits from time to time.

11. Limitation of liability

I. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL OR INDIRECT DAMAGES ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SERVICE, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OR CORRUPTION OF DATA OR PROGRAMS, SERVICE INTERRUPTIONS AND PROCUREMENT OF SUBSTITUTE SERVICES, EVEN IF THE COMPANY KNOWS OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNDER NO CIRCUMSTANCES WILL THE COMPANY'S AGGREGATE LIABILITY, ON ANY FORM OF ACTION WHATSOEVER IN CONNECTION WITH THIS AGREEMENT, EXCEED THE PRICE PAID BY YOU FOR YOUR ACCOUNT. THE COMPANY SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES RESULTING FROM ANY CORRESPONDENCE OR BUSINESS DEALINGS WITH THIRD-PARTY ADVERTISERS OR RESULTING FROM THE PRESENCE OF SUCH ADVERTISERS ON THE SERVICE.
II. While the Company performs an initial screening of individuals registering for the Service, the Company makes no representations or warranties as to the conduct of such individuals or their compatibility with any current or future Registered Users. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, AND/OR INCIDENTAL, ARISING OUT OF OR RELATING TO THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SERVICE, INCLUDING WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, AND/OR ANY OTHER DAMAGES RESULTING FROM COMMUNICATIONS OR MEETINGS WITH OTHER REGISTERED USERS OF THIS SERVICE OR PERSONS INTRODUCED TO YOU BY THIS SERVICE.

12. Indemnity by Registered User. You will indemnify and hold harmless the Company, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of your use of the Service, including any breach by you of the terms of this Agreement.

13. To resolve a complaint regarding the Service, you should first contact the Company by clicking on the "Contact Us" button or via email to us.

14. Termination

Either you or the Company may terminate your account at any time, for any reason or no reason, without explanation, effective upon sending written notice to the other party. The Company reserves the rights to immediately suspend or terminate your access to the Service, without notice, if in Company’s sole discretion it believes you have violated any Section of this Agreement by you which is brought to the Company's attention. In the event your access to the Service is suspended due to the breach of this Agreement, you agree that all fees then paid to the Company by you shall be nonrefundable. Following any termination hereof, the Company reserves the right to send a notice that you have been terminated to other Registered Users with whom you have corresponded.

You agree that DesiFly.com may, under certain circumstances and without prior notice and at DesiFly.com sole discretion, immediately terminate your DesiFly.com account, any associated email address, and access to the Service. Cause for such termination shall include, but not be limited to:
breaches or violations of the TOS or other incorporated agreements or guidelines
requests by law enforcement or other government agencies
a request by you (self-initiated account deletions)
discontinuance or material modification to the Service (or any part thereof)
unexpected technical or security issues or problems
extended periods of inactivity
engagement by you in fraudulent or illegal activities, and/or
nonpayment of any fees owed by you in connection with the Services.

Termination of your DesiFly.com account includes
removal of access to all offerings within the Service, including but not limited to DesiFly.com Mail, Groups, Messenger, Chat, Domains, Personals, Auctions, Message Boards, Greetings, Alerts and Games
deletion of your password and all related information, files and content associated with or inside your account (or any part thereof)
barring of further use of the Service.

Further, you agree that all terminations for cause shall be made in DesiFly.com sole discretion and that DesiFly.com shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the Service.

15. Deaths, Disability, or Relocation

I. Death, Disability, or Relocation, If by reason of death or disability you are unable to receive all services for which you contracted, you and your estate may elect to be relieved of the obligation to make payments for services other than those received before death or the onset of disability, except as provided.
II. If you have prepaid any amount for the Service, so much of the amount prepaid that is allocable to services that you have not received shall be promptly refunded to you or your representative.
III. "Disability" means a condition which precludes you from physically using the Service during the term of disability and the condition is verified in writing by a physician designated and remunerated by you. Written verification from the physician must be presented to the Company.
IV. If the physician determines that the duration of the disability will be less than six (6) months, Company may extend the term of the contract for a period of six (6) months at no additional charge to you in lieu of cancellation.
V. This Agreement, accepted upon registration for the Service, contains the entire agreement between you and the Company regarding the use of this Service. Unless otherwise explicitly stated, the terms will survive termination of your registration to the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.

16. Gift: DesiFly.com Privacy Policy and Terms of use are applied to Gift Purchasers and Gift Recipients.

17. News and Newsletter

I. The materials comprising the news or Newsletter on DesiFly.com Website (the "Website") are provided "as-is, as-available" basis for informational purposes only. DesiFly.com assumes no responsibility for any errors or omissions in these materials. The DesiFly.com makes no commitment to update the information contained herein. Further, the DesiFly.com cannot edit, control, review for truth or accuracy, or screen for defamation or obscenity any content provided to the Website by a third party through postings, uploaded files, or any other form of communication, nor can the DesiFly.com ensure prompt removal of defamatory, obscene, inappropriate or unlawful content after transmission. Any such third party postings, files or other communications do not necessarily represent the opinions, beliefs, or positions of the DesiFly.com news or Newsletter.
II. The DesiFly.com makes no, and expressly disclaims any, representations or warranties, express or implied, regarding the Website, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose. DesiFly.com makes no, and expressly disclaims any, warranties, express or implied, regarding the correctness, accuracy, completeness, timeliness, and reliability of the text, graphics, links to other sites and any other items accessed from or via this Website or the Internet, or that the services will be uninterrupted, error-free or free of viruses or other harmful components.
